By accessing our website www.westerndigisoft.com (“Site”) and engaging our services, you (“Client”, “you”, “your”) agree to comply with the following Terms and Conditions, as governed by Indian Contract Act, 1872 and applicable Indian laws.

1. Pre-Project Agreement

  • Before commencing any project, both parties shall enter into a formal Service Agreement outlining:

    • Scope of work

    • Project timelines and milestones

    • Deliverables

    • Payment structure

    • Confidentiality obligations

  • No work shall begin without a mutually signed agreement.

2. Payment Terms

  • Advance Payment: The client shall pay 50% of the total project cost in advance unless otherwise agreed in writing.

  • Final Payment: The remaining balance must be cleared before final delivery.

  • Refunds:

    • If Western DigiSoft fails to deliver agreed-upon services within the specified timelines without valid reasons, the client may withdraw the pending payment and request a partial or full refund as per the Service Agreement.

    • Refunds are not applicable for services already delivered or consumed (e.g., ads spent, domain registrations, hosting charges).

3. Client Responsibilities

  • Provide accurate information and necessary credentials to complete the project.

  • Approve or reject project deliverables within the agreed review period.

  • Avoid misuse of our services for illegal, fraudulent, or unethical purposes.

4. Intellectual Property Rights

  • All source codes, creative assets, and deliverables remain the property of Western DigiSoft until full payment is received.

  • Upon full payment, ownership rights transfer to the client unless otherwise stated in the agreement.

  • Unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited under the Indian Copyright Act, 1957.

5. Limitation of Liability

  • Western DigiSoft shall not be liable for:

    • Indirect, incidental, or consequential damages.

    • Loss of business, revenue, or data arising from service interruptions.

  • Our total liability shall never exceed the total amount paid by the client under the applicable project agreement.

6. Governing Law & Jurisdiction

  • These Terms are governed by the laws of India.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha.

7. Amendments

We reserve the right to modify these Terms at any time. Continued use of our services constitutes acceptance of updated Terms.
